Terms of Service & Operational Agreement

MENUMAKE is solely a Software-as-a-Service (SaaS) technology infrastructure provider that provides restaurants, cafes, and food venues with automated digital QR code catalogs and order-dispatch formatters to WhatsApp. The Platform is NOT a food seller, food preparer, delivery carrier, financial intermediary, or food aggregator.

All commercial contracts, sales, meal preparation, pricing decisions, food quality, and monetary settlements occur entirely directly between the dining establishment and its diners. The Platform bears absolutely no privity of contract with the end consumers.

To the fullest extent permitted by applicable laws, MENUMAKE, its owners, directors, and operators categorically and unconditionally disclaim all legal, civil, and criminal liability regarding:

• Food Safety & Ingredients: Food quality, freshness, expiration, contamination, hygiene, or compliance with health authorities regulations.
• Allergies & Dietary Restrictions: Food allergies (nuts, gluten, dairy, seafood, etc.) or undisclosed ingredients in the dishes provided by the restaurant.
• Pricing & Calculation Errors: Accuracy of menu prices, taxes, delivery surcharges, discounts, or total calculation entered by the restaurant management.
• Order Delivery & WhatsApp Dispatch: Failure, delay, or non-fulfillment of any food order dispatched via WhatsApp.

The Platform utilizes deep-linking technology to dispatch formatted order messages to the official WhatsApp mobile/web client. WhatsApp is an independent service owned and operated by Meta Platforms, Inc.

MENUMAKE holds no control over WhatsApp servers, terms of service, API modifications, message delivery reliability, or account suspensions by Meta. The Platform shall not be liable under any circumstances for any WhatsApp outages, delays, spam blocks, or account bans incurred by the restaurant due to non-compliance with Meta policies.

Every newly registered restaurant is granted a free 30-day trial without requiring credit card details to comprehensively test and evaluate the system.

MENUMAKE reserves the right to modify subscription pricing, feature tiers, or renewal terms at any time with respect to future billing cycles.

MENUMAKE reserves the absolute, unfettered right to suspend, freeze, disable, or terminate any restaurant account or menu at any time, immediately and without prior notice, liability, or refund, in its sole discretion, for any reason, including without limitation:

• Breach of any term or condition of this agreement.
• Uploading illegal, offensive, fraudulent, or copyrighted content without authorization.
• Failure or delay to pay renewal subscription fees.
• Any activity that harms the reputation, security, or infrastructure of the Platform.

All software code, user interface designs, logos, typography, database architectures, algorithms, and documentation comprising MENUMAKE are the exclusive, proprietary intellectual property of the Platform administration and are protected under international copyright and intellectual property treaties.

Users are granted solely a limited, revocable, non-exclusive, non-transferable license to utilize the menu interface during an active subscription. You may not copy, reverse-engineer, decompile, redistribute, resell, or white-label the software under any circumstances.

The Platform and its services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory. We do not warrant that service will be 100% uninterrupted, error-free, immune to cyber attacks, or meet all specific commercial expectations.

You agree to defend, indemnify, and hold harmless MENUMAKE, its owners, operators, and agents against any and all claims, damages, liabilities, losses, costs, and legal fees arising from or related to: (a) your use or misuse of the platform; (b) any content, dishes, or images you upload; (c) any violation of this agreement; or (d) any dispute between you and your diners, customers, or local municipal authorities.

These Terms shall be governed by and construed in accordance with the applicable laws of the jurisdiction of the Platform administration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the competent courts of the Platform's principal place of administration.

We reserve the right to amend or update these Terms at any time without prior individualized notice. Amendments take immediate effect upon being published on the platform. Your continued access or use of MENUMAKE constitutes full and irrevocable acceptance of the modified Terms.
